These Terms govern your access to and use of FACE Studio (the "Service"), operated by As. Institutul de Cercetare al Tehnologiilor Avansate ABQ, a non-profit association registered in Romania (sole registration code CUI RO51587423), with its registered office at Spl. Peneș Curcanu, Nr. 4-5, 300124 Timișoara, Timiș, Romania ("ABQ", "we", "us"). By creating an account or using the Service, you agree to these Terms. If you accept on behalf of an organization, you confirm you are authorized to bind it.
1. The Service
FACE Studio is a hosted, multi-tenant knowledge-base manager that edits content in your own Git repositories on your behalf. We may update, improve, or change features over time.
2. Licence to use (use-only)
Subject to these Terms and payment of applicable fees, we grant you a non-exclusive, non-transferable, non-sublicensable right to use the Service for your internal business purposes during your subscription term. FACE Studio is proprietary software. Except as expressly permitted, you may not copy, modify, create derivative works of, distribute, resell, rent, sublicense, reverse-engineer, or attempt to access the source code or underlying software, nor remove any proprietary notices.
3. Accounts and access
You are responsible for your account, your organization's members and their roles, and for keeping credentials secure. You are responsible for all activity under your accounts.
4. Your content
Your knowledge-base content remains in your Git repositories. You retain all ownership of it. You grant us only the limited rights necessary to operate the Service for you (e.g. reading, rendering, and writing changes you initiate via your connected Git provider). We do not claim ownership of your content and do not store a copy beyond what is transiently required to serve your requests.
5. Third-party services
The Service connects to third-party services you authorize — including your Git provider (e.g. GitHub), AI providers (using keys you supply), and our payment processor (Stripe). Your use of those services is governed by their own terms, and you are responsible for any fees they charge you directly.
6. Fees and billing
Paid plans are billed in advance via Stripe on a recurring basis (including per-repository quantities, where applicable). Subscriptions renew automatically unless cancelled before the renewal date. Fees are non-refundable except where required by law. We may change pricing with prior notice effective at your next renewal.
7. Acceptable use
You will not use the Service unlawfully, to infringe others' rights, to compromise its security or availability, or to exceed the limits of your plan by technical means.
8. Confidentiality
The Service's non-public software, interfaces, and documentation are our confidential information. You will not disclose them or use them outside these Terms.
9. Intellectual property
We own all rights in FACE Studio and the Service. These Terms grant no rights except the use right in Section 2. Feedback you provide may be used by us without restriction.
10. Warranty disclaimer
The Service is provided "AS IS" and "AS AVAILABLE", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
11. Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, or consequential damages. Our total liability under these Terms will not exceed the fees you paid in the 12 months before the event giving rise to the claim.
12. Term and termination
These Terms apply while you use the Service. Either party may terminate for material breach not cured within 30 days of notice. We may suspend access for non-payment or violations. On termination, your right to use the Service ends; your content remains in your own repositories.
13. Changes
We may update these Terms; material changes will be notified in-app or by email. Continued use after changes take effect constitutes acceptance.
14. Governing law
These Terms are governed by the laws of Romania, and disputes are subject to the competent courts of Timișoara, Romania.
